Terms of Use
Welcome to MemoRx. Please read these Terms of Use carefully before using the app or website. By downloading, installing, or using MemoRx, you agree to be bound by these terms. If you do not agree, do not use the app.
1. Who We Are
MemoRx is operated by CTXA LLC, a limited liability company. References to "we," "us," or "our" in these Terms refer to CTXA LLC.
2. Who May Use MemoRx
You must be at least 13 years old to use MemoRx. By using the app, you represent that you meet this requirement and have the legal capacity to enter into a binding agreement. If you are under 18, you represent that a parent or guardian has reviewed and agreed to these Terms on your behalf.
3. What MemoRx Is (and Is Not)
Medical Disclaimer. MemoRx is an educational study tool designed to help students learn pharmacology concepts. It is not a medical device, clinical decision-support tool, or substitute for professional medical, pharmaceutical, or clinical advice. Drug information in the app is provided for study purposes only and may not reflect the most current prescribing guidelines, dosing recommendations, or safety data. Always consult a licensed healthcare professional and authoritative references (e.g., current product labeling, clinical pharmacology databases) before making any clinical decisions.
MemoRx provides flashcards, adaptive quizzes, and drug reference summaries intended for pharmacy students, nursing students, and other learners preparing for licensing examinations such as the NAPLEX. The app is a supplement to — not a replacement for — formal education, textbooks, and clinical training.
4. Account and Access
MemoRx uses Sign in with Apple or other supported authentication methods for account access. You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it. Notify us immediately at hello@ctxa.ltd if you suspect any unauthorized use of your account.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in abusive conduct, or for any other reason at our sole discretion.
5. Subscriptions and Payments
MemoRx offers optional paid subscriptions that unlock additional features. Subscriptions are offered on a weekly, monthly, or annual basis and are billed through your Apple ID via Apple's In-App Purchase system.
- Billing. Payment is charged to your Apple ID at confirmation of purchase. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period.
- Free Trials. If a free trial is offered, any unused portion is forfeited when you purchase a subscription during the trial period.
- Cancellations and Refunds. You may cancel at any time through your Apple ID account settings. Refunds are subject to Apple's refund policy and are not issued directly by CTXA LLC.
- Price Changes. We may change subscription prices with advance notice. Continued use after a price change takes effect constitutes acceptance of the new price.
6. Acceptable Use
You agree not to:
- Reproduce, distribute, sell, sublicense, or create derivative works from MemoRx content without our written permission.
- Reverse-engineer, decompile, or disassemble any part of the app.
- Use automated tools (scrapers, bots, crawlers) to access or extract content from MemoRx.
- Use the app for any unlawful purpose or in violation of any applicable regulations.
- Attempt to gain unauthorized access to any part of the app or its backend systems.
7. Intellectual Property
All content in MemoRx — including but not limited to flashcard content, drug summaries, quiz logic, UI design, graphics, and copy — is owned by or licensed to CTXA LLC and is protected by copyright and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features.
We welcome feedback. If you submit ideas, suggestions, or other feedback about MemoRx, you grant us a perpetual, royalty-free license to use that feedback for any purpose without obligation to you.
8. Privacy
Our Privacy Policy describes how we collect, use, and protect your information. By using MemoRx, you agree to the collection and use of data as described in the Privacy Policy.
9. Third-Party Services
MemoRx may integrate with or link to third-party services (e.g., Apple Sign-In, payment processing). These services are governed by their own terms and privacy policies. We are not responsible for the practices of third-party providers.
10. Disclaimers
MemoRx is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the app will be uninterrupted, error-free, or free of viruses or other harmful components. We make no warranty regarding the accuracy, completeness, or timeliness of any drug information in the app.
11. Limitation of Liability
To the fullest extent permitted by applicable law, CTXA LLC, its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of MemoRx, including but not limited to damages for loss of data, loss of revenue, or any clinical outcomes resulting from reliance on content in the app.
Our total liability to you for any claim arising from these Terms or your use of MemoRx will not exceed the amount you paid to CTXA LLC in the twelve months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless CTXA LLC and its members, officers, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of MemoRx, your violation of these Terms, or your violation of any third-party rights.
13. Changes to These Terms
We may update these Terms from time to time. We'll notify you of material changes via the app or by updating the "Effective" date above. Your continued use of MemoRx after changes take effect constitutes acceptance of the revised Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the United States and the state in which CTXA LLC is organized, without regard to conflict-of-law principles. Any dispute arising from these Terms will be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to participate in a class-action lawsuit or class-wide arbitration.
